These Terms and Conditions (“T&Cs”) set out the agreement between you and She Does Filmz relating to the use of the She Does Filmz Website (as defined below),an online platform 100% dedicated to women film directors which allows subscribers to access films and content (“Film(s)”)and/or any She Does Filmz account or pages on online platforms such as twitter.com, facebook.com and instagram.com (these pages and the Website are referred to in these T&Cs as the “SDF Platform(s)”). Our SDF Platforms (including without limitation any content thereon) are owned by or licensed to us.
As used in these T&Cs “you” refers to visitors to and users of any of our SDF Platforms (including without limitation individuals who submit Material to any of the SDF Platforms and Subscribers (all terms as defined below)). Visiting or using any of the SDF Platforms confirms that you are bound by these T&Cs. These T&Cs should be read together with our Privacy Policy and our Cookie Policy, which are available via our Website.
Please note, our SDF Platforms (including without limitation our Website) and our products and services are hosted on third party platform(s)/service(s) each of which has its own terms and conditions. Also you may access our SDF Platforms via platforms such as Instagram, Twitter, Facebook, and those platforms also have their own terms and conditions. We strongly recommend you check those other terms and conditions before visiting any of our SDF Platforms, our products and services.

3. Rights
All intellectual and other property rights, including but not limited to copyright, domain names, trademarks, trade names and logos in and on the SDF Platforms, and any material or information contained in or downloaded from the SDF Platforms are owned by or licensed to us or our affiliates. No rights of any kind are licensed or assigned or shall otherwise pass to any persons visiting or using any of the SDF Platforms.
The SDF Platforms are all protected by copyright, and no part of any of the SDF Platforms may be reproduced, modified, copied, distributed, sold, published or transmitted in any form or by any means without our prior written approval.
Under no circumstances may you: (i) attempt to use any of the SDF Platforms and/or any of their content in an illegal or commercial or inappropriate manner or conduct yourself on or in relation to any of the SDF Platforms in an unacceptable manner (all as determined by us); (ii) attempt to gain unauthorised access to Subscriber-only content and services on any of the SDF Platforms; (iii) reverse engineer, decompile, disassemble or otherwise attempt to derive the source code version of any part of any of the SDF Platforms; (iv) auto-download or mass-download any content from any of the SDF Platforms; (v) attempt to remove any proprietary notices or credits on any the SDF Platforms. Using software that attempts to connect to any of the SDF Platforms and copy large amounts of data is prohibited. We shall be entitled at any time immediately and without notice to: (a) suspend; or (b) terminate (regardless of whether there has been any prior suspension or not); your use of any or all of the SDF Platforms if (in our sole opinion) you are in breach of any part of these T&CS. In addition, we may routinely monitor traffic on the SDF Platforms, and suspicious or malicious or excessive activity on the SDF Platforms may be blocked and reported and result in suspension or termination as above.
4. Hardware and software
You need broadband or a 3G mobile network to stream content from the SDF Platforms, and you’ll need a fast enough connection and an adequate broadband data allowance. You will be responsible for all costs charged by your mobile network and broadband providers and your internet service provider when visiting or using any of the SDF Platforms. You can visit or access any of the SDF Platforms from a computer or mobile device.
Certain services or content of the SDF Platforms may not be available on all devices.
You should check before you become a Subscriber that you have a compatible service(s) and device(s) to access and use the Subscriber-only content and services on the SDF Platforms.
A Subscriber can register compatible devices on their account, but only one device may be used at any time to access the Subscriber’s account and the Subscriber-only content and services of any of the SDF Platforms.
5. Submitted material
“Material” means any material submitted by you in any form to any of the SDF Platforms including without limitation your name, user name, place of origin, email address, comments, complaints, photographs or videos.
By submitting any Material to any of the SDF Platforms you grant to us an irrevocable non-exclusive royalty free perpetual worldwide licence of rights to edit, manage and use the Material in any form for the purposes of research, marketing, promotion and publicity and for any other purpose in connection with any or all of the SDF Platforms and our business. We are not obliged to edit, manage, exhibit or use in any way any Material submitted by you to any of the SDF Platforms.
Material submitted by you to any of the SDF Platforms may or may not be attributed to you or identify you. Your personal information will at all times be treated in accordance with our Privacy Policy (unless submission is via a third party platform in which case the terms and policies of the third party platform shall apply).
On submitting any Material to any of the SDF Platforms you warrant that: (i) the Material is truthful and accurate; (ii) the Material is original to you, has not been copied or reproduced from any other source, and does not infringe the copyright or any other property right of any third party; (iii) (in our sole opinion) the Material is not defamatory, blasphemous, obscene, offensive or inappropriate and is not likely to cause distress and does not breach any applicable laws, regulations, contractual terms, duty or confidence, right of privacy or any other right of any third party; (iv) the Material is fully owned by you and you are entitled to submit the Material and grant the rights above to us and you have obtained any relevant permissions and consents from third parties.
We are not responsible for any aspect (including content, accuracy, quality, fitness for purpose, timing or reliability) of and we do not endorse any Material submitted by users to any of the SDF Platforms. We may remove any Material that we consider (in our sole opinion) is in breach of any of these T&Cs. If you have any claim arising from the actions of or content submitted by another user of any of the SDF Platforms you agree to pursue such claim only against that user and not against us.
6. Indemnity
We accept no responsibility for your actions or omissions, and you agree to indemnify and hold harmless us, our affiliates, employees, officers, directors, agents, contractors, successors and assigns from and against all actions, proceedings, claims, demands, fines, penalties, judgements, expenses and costs (on a full indemnity basis) brought or made against us by any person arising from or in consequence of such actions or omissions, and from and against all damage, loss, liability, settlements, cost or expense suffered or incurred by us as a direct or indirect consequence thereof, including in relation to any Material you contribute to any of the SDF Platforms.
7. Disclaimer, no warranty
The SDF Platforms are provided on an ‘as is’ basis and we do not make any representations or warranties, express or implied, as to the accuracy, timeliness, completeness or fitness for any particular purposes of any of the SDF Platforms, including without limitation that any of the SDF Platforms and their contents will operate in combination with your hardware or software or services. We shall not, nor shall any of our affiliates, offices, employees, agents or any representatives, be liable for any direct, incidental, consequential, indirect or punitive loss or damages arising from your use or inability to use any of the SDF Platforms (including without limitation any Subscriber-only content and/or services). In no event shall our aggregate liability (if any) arising out of or in connection with the provision of the SDF Platforms and regardless of the legal right claimed to have been breached exceed the amount of subscription charges payable to us by a Subscriber over the 12 consecutive months immediately prior to the date of any such claim.
We do not warrant that any of the SDF Platforms and their contents will be available uninterrupted or without delay or in fully operational condition or will be error free, free of viruses or bugs and shall not be liable for the same. For the avoidance of doubt, we are not responsible or liable for any unavailability of any of the SDF Platforms and their contents that are related to the unavailability of your broadband or any other systems or services or failure or of your equipment. Any of the SDF Platforms may be suspended temporarily and without notice in the case of system failure, maintenance or repair or other reasons beyond our reasonable control.
You agree to accept all updates, maintenance, fixes, service packs and similar measure necessary for the proper function and security of the SDF Platforms. We are not responsible for performance or security issues encountered by you when visiting or using any of the SDF Platforms that result from failure to accept any of the same.
8. Links to other websites
Please note, any of our SDF Platforms may contain links to and from third party websites. We are not responsible for third party websites or their content which are accessed at our own risk and we do not endorse them by virtue of having such links on any of our SDF Platforms. Our T&Cs and our policies do not apply to those other websites, they will have their own terms and conditions and policies which we recommend you check.
9. Restrictions on use
You must be over 18 and living in the United Kingdom or the United States of America to access and use the SDF Platforms.
10. Changes to T&Cs and SDF Platforms
We may change these T&Cs from time to time. If we do change these T&Cs, we will post the changes on this page. If we decide to, we may also email you about the changes. We recommend you check these T&Cs regularly.
We reserve the right at any time to change or modify our services as delivered through any of the SDF Platforms
Your continued accessing of any of our SDF Platforms (including without limitation our Website), and our products and services will mean you accept the changes to these T&Cs and/or our SDF Platforms.
11. Miscellaneous
If we decide not to exercise or enforce any of our rights at any particular time, this does not prevent us from later deciding to exercise or enforce that right. If any part of these T&Cs is found to be illegal, invalid or otherwise unenforceable then (if necessary) that part shall be deleted and the remaining parts of the T&Cs will continue to be enforceable. No waiver by us of any right or privilege available to us shall constitute a waiver of any future right or privilege. These T&Cs do not create or infer any rights that are enforceable by any person who is not party to them. The agreement between us and you under these T&Cs is personal to you and may not be transferred to any third party. We may transfer our rights and obligations under these T&Cs to any third party.

These T&Cs are governed by the laws of England and Wales and jurisdiction and venue for all disputes shall in the courts of England.
